CEM-SC Warranty

Section 1.0: Warranty & Warranty Claim Procedure

1.0.1 Warranty Coverage

CEM-SC warrants that the goods sold by CEM-SC and covered by customer purchase order shall substantially conform in all material aspects to the drawings, specifications, descriptions, and Bill of Material supplied by Customer to CEM-SC and shall be free from defects in material and workmanship for a period of one (1) year from the date of shipment.

1.0.2 Build-to-Print Disclaimer

CEM-SC is not responsible for validating customer-provided drawings or bills of material for any errors or omissions of any kind. Customer is responsible for any direct loss or increased expense resulting from any and all such errors and omissions in their drawings or bills of material. Customer is solely responsible for the performance requirements of Products thus produced and for determining the proper application and use of any such Products. CEM-SC shall not be liable to Customer or any other person in tort or other legal theory for any negligent design or manufacture of Products manufactured to Customer-provided drawings and bills of material, or for Customer's or any other party's goods produced therewith, or for the omission of any warning with respect thereto.

1.0.3 Workmanship vs. Design Defect Determination

In cases where the root cause of a defect is disputed (i.e., whether the defect resulted from CEM-SC workmanship or from Customer design/documentation), the parties shall engage in good faith discussion to determine root cause. If agreement cannot be reached within ten (10) business days, the parties may jointly engage a mutually agreed-upon third-party technical expert to provide a non-binding opinion. Costs of such expert shall be agreed on and shared equally.

1.0.4 Purchased Component Parts

All purchased component parts will be covered by the original manufacturer's warranty, if any. For Customer-supplied components, Customer shall manage warranty claims directly with the OEM. For CEM-SC-supplied components, CEM-SC shall facilitate OEM warranty claims on Customer's behalf.

1.0.5 Limitation of Liability

In no event shall either party to the transaction be liable to the other for incidental, special, or consequential damages whether in contract, tort, or otherwise, including, but not limited to damages related to loss of profits or revenue, or other incidental, special, or consequential damages. This limited warranty is in lieu of any implied warranty of merchantability or fitness for a purpose or any other statutory or common law warranties which may be applicable to the transaction at hand.

 

Section 1.1: Warranty Claim Procedure

1.1.1 Definition

A warranty claim is a claim for defective part, material, and/or workmanship supplied by CEM-SC, covered under the Customer purchase order.

1.1.2 Point of Contact

The CEM-SC point of contact for Customer limited warranty claims shall be CEM-SC Program Manager. Contact information shall be provided at time of first shipment.

1.1.3 Notification Requirements

Upon discovery of a potential warranty claim, Customer shall notify CEM-SC in writing within fourteen (14) calendar days stating full details of the alleged claim including: CEM-SC Job#, Customer drawing#, Customer part#, Customer serial#, and a detailed summary with photos of the alleged issue which has given rise to the potential warranty claim. For claims involving safety issues or complete unit failure, notification shall be made within forty-eight (48) hours.

1.1.4 Review and Disposition

CEM-SC shall conduct a detailed internal review upon receipt of requisite documentation and information regarding the potential warranty claim. CEM-SC shall provide initial response within five (5) business days with one of the following dispositions: (a) claim accepted - warranty action plan to follow, (b) claim requires additional information, or (c) claim rejected with explanation. Final disposition and action plan shall be provided within ten (10) business days of initial notification.

1.1.5 Warranty Action Execution

•        If it is determined that the claim is covered under the limited warranty, a purchase order from Customer with a zero-dollar value will be issued to CEM-SC to execute the warranty action plan.

•        CEM-SC will provide a Return Goods Authorization number (RGA) before the return of any parts or materials.

•        A written warranty claims post-mortem report will be issued to Customer by CEM-SC Technical Services explaining findings and the action plan forward.

1.1.6 Travel and On-Site Support

For warranty claims that can be resolved remotely (via phone, video, or shipping of replacement parts), no travel charges shall apply. For warranty claims requiring on-site support at customer facilities, Customer will be billed for travel and related expenses at cost with no markup. CEM-SC shall provide travel cost estimate prior to dispatch for Customer approval.

1.1.7 Field Replacement Parts

Recognizing the operational requirements of field-deployed units at customer facilities, the parties agree to the following field replacement protocol:

•        Pre-Approved Spare Parts: Customer may maintain an inventory of pre-approved spare parts for field replacement. A list of pre-approved parts shall be jointly established within thirty (30) days of first shipment.

•        Field Replacement Procedure: For pre-approved spare parts, Customer may perform field replacement without prior CEM-SC authorization, provided that: (a) the replaced part is retained and returned to CEM-SC within fourteen (14) days, (b) the replacement is documented with photos and serial numbers, and (c) CEM-SC is notified within two (2) business days.

•        Warranty Preservation: Field replacement of pre-approved parts per this procedure shall NOT void the warranty on the remainder of the unit.

•        Non-Approved Repairs: Any repairs or replacement of component parts NOT on the pre-approved list done by Customer without CEM-SC authorization may void the warranty on the affected subassembly. CEM-SC shall provide disposition within two (2) business days of notification for non-approved repairs.

1.1.8 Replacement Part Warranty

Parts replaced under warranty shall be warranted for the greater of: (a) ninety (90) days from replacement, or (b) the remainder of the original one (1) year warranty period.
